Terms of Service
These Terms govern your use of the Bizzly platform. By creating an account or using our services, you agree to be bound by them. Last updated: 28 April 2026.
1The Service
1.1 Description
Bizzly Ltd ("we," "us," or "our") provides a multi-tenant platform for creating, managing, and operating subscription websites, including integrations with third-party services such as Stripe, HubSpot, Google Calendar, and others (the "Service"). The Service is operated at www.bizzly.net.
1.2 Accounts
Users must register to access certain features of the Service. Accounts are personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access or suspected breach.
1.3 Updates
We may modify the Service at any time, including adding, changing, or discontinuing features. Where changes materially affect your use of the Service, we will provide reasonable notice where practicable.
2Customer Responsibilities
2.1 Compliance
You must comply with all applicable laws and regulations in connection with your use of the Service, including data protection legislation (UK GDPR, EU GDPR), e-commerce regulations, consumer protection law, and payment card industry requirements.
2.2 Content
You are solely responsible for all data, websites, content, and materials that you create, upload, or host through the Service. You warrant that your content does not infringe any third-party rights and does not violate any applicable law.
2.3 Acceptable Use
You must not use the Service to:
- Engage in unlawful, fraudulent, deceptive, or harmful activities;
- Attempt to reverse engineer, decompile, disrupt, overload, or exploit the Service or its underlying infrastructure;
- Infringe upon any third-party intellectual property, privacy, or other rights;
- Transmit malware, spam, or any content that is illegal, abusive, or offensive;
- Misrepresent your identity or affiliation with any person or organisation.
3Subscriptions, Billing, and Payments
3.1 Fees
Access to certain features of the Service requires a paid subscription. Applicable fees and payment terms are displayed at the time of purchase and on our Pricing page. All prices are stated in GBP and are inclusive of VAT where applicable.
3.2 Billing
By subscribing, you authorise us and our payment processor (Stripe) to charge the subscription fees to your nominated payment method on the applicable billing cycle. You must ensure your payment details remain current and valid.
3.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You can manage and cancel your subscription at any time from your account settings.
3.4 Refunds
Except as required by applicable consumer protection law (including UK statutory cancellation rights during any free trial or initial cooling-off period), all payments are non-refundable. Cancelling your subscription will take effect at the end of the current billing period; you retain access to the Service until that date.
4Term and Termination
4.1 Term
These Terms remain in effect for as long as you maintain an active account or use the Service.
4.2 Termination by You
You may cancel your subscription and close your account at any time via the account settings within the Service. Closing your account does not entitle you to a refund of any prepaid fees.
4.3 Termination by Us
We may suspend or terminate your account immediately, with or without notice, if:
- You violate any provision of these Terms;
- We are required to do so by law or court order;
- Continued provision of the Service would expose us or others to legal liability or reputational harm;
- You fail to pay any amounts due and do not remedy the failure within 7 days of notice.
4.4 Effect of Termination
Upon termination or expiry of your account:
- Your access to the Service is revoked immediately;
- We are under no obligation to assist with migration, data export, or continued availability of hosted content — you are responsible for exporting and backing up your data prior to termination;
- Any outstanding fees remain due and payable;
- Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.
5Third-Party Services
The Service integrates with third-party providers including Stripe (payments), HubSpot (CRM), Google (Calendar and authentication), Twilio (WhatsApp messaging), and Microsoft Azure (authentication and hosting). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
6Intellectual Property
6.1 Our Rights
All intellectual property in the Service — including software, design, branding, trademarks, and documentation — is and remains the exclusive property of Bizzly Ltd or its licensors. Nothing in these Terms transfers any ownership rights to you.
6.2 Licence to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during the term of your subscription.
6.3 Your Content
You retain ownership of all content and data you upload to the Service. You grant us a limited licence to host, display, and process that content solely as necessary to provide the Service to you.
7Disclaimers and Limitation of Liability
7.1 Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
7.2 Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability to you arising out of or in connection with these Terms or the Service is limited to the fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim;
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law.
8Indemnification
You agree to indemnify, defend, and hold harmless Bizzly Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or any breach of these Terms;
- Content or data you create, upload, or publish through the Service;
- Your violation of any applicable law or third-party rights.
9Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any right you may have to bring proceedings in a court of your country of residence under applicable mandatory consumer protection law.
10Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide notice via email or in-platform notification where required. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.
11Miscellaneous
- No Waiver. Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce it at any future time.
- Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- Entire Agreement. These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Bizzly Ltd regarding the Service and supersede all prior agreements and understandings.
- Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
